1. Agreement to Terms

These Terms & Conditions ("Terms", "Agreement") are a legal agreement between you ("User", "Member", "you") and Daily Grind Trading LLC, a Delaware limited liability company operating in California ("DGT", "we", "us", "our").

By accessing our website at dailygrindtrading.com, subscribing to our services, joining our Discord community, or using any of our services in any manner, you agree to be bound by these Terms. If you do not agree to all terms and conditions of this Agreement, you may not access the website or use any services.

2. Description of Services

Daily Grind Trading LLC provides educational and entertainment content related to financial markets, specifically options trading. Our services are for informational and educational purposes only.

Our services include:

• Market commentary and analysis
• Educational content about options trading strategies
• Trading alerts and notifications (for educational purposes)
• Access to private Discord community channels
• Market insights and discussion forums
• Historical trade data and performance tracking

IMPORTANT: All content is provided for commentary and entertainment purposes only. Nothing provided by DGT constitutes personalized investment advice, recommendations, or solicitation to buy or sell any securities.

3. Eligibility and Age Requirements

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

Our services are available to users worldwide, provided they can legally trade US securities in their jurisdiction. You are responsible for compliance with all applicable local laws and regulations.

4. Subscription Plans and Pricing

We offer multiple subscription options:

• Weekly Subscriptions: Billed weekly with automatic renewal
• Monthly Subscriptions: Billed monthly with automatic renewal
• Annual Subscriptions: Billed yearly with automatic renewal
• Lifetime Memberships: One-time payment with permanent access and additional exclusive channels

All recurring subscriptions automatically renew unless cancelled prior to the renewal date. Lifetime members receive access to exclusive channels not available to other subscription tiers.

Pricing is subject to change with 30 days notice to existing subscribers. Price changes will not affect existing subscriptions until their next renewal period.

5. Payment Processing and Third-Party Services

Payments are processed through Stripe and membership management is handled through Whop. By subscribing, you also agree to their respective terms of service:

All payment information is handled securely by these third-party processors. We do not store your payment information on our servers.

6. Refund Policy

We offer a 7-day refund policy from the date of purchase, subject to the following conditions:

• Refund requests must be made within 7 days of initial purchase
• You must not have violated any of our community rules or terms
• Lifetime memberships are eligible for refunds within the 7-day window
• Refunds are processed through the original payment method

We reserve the right to deny refunds to users who have violated our terms, engaged in disruptive behavior, or shared proprietary content. Refunds are at our sole discretion.

No refunds will be provided for partial subscription periods after the 7-day window, even if you cancel your subscription early.

7. Discord Community Access

Access to our Discord community is included with all active subscriptions. By joining our Discord, you also agree to Discord's Terms of Service and Community Guidelines.

Community Rules:

• Maintain respectful and professional conduct at all times
• No harassment, discrimination, or abusive behavior
• No sharing of content outside the Discord community
• No recording, screenshotting, or archiving of discussions
• Follow all channel-specific rules and guidelines
• No spam, promotional content, or solicitation

Violation of community rules may result in immediate removal from Discord and termination of your subscription without refund. We rely on Discord's built-in message history for moderation purposes.

8. Intellectual Property Rights

All content provided through our services, including but not limited to trading alerts, analysis, educational materials, Discord discussions, website content, logos, and proprietary methodologies, is the exclusive property of Daily Grind Trading LLC and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our content solely for your personal, non-commercial use. This license does not include the right to:

• Copy, reproduce, or distribute any content
• Share screenshots, recordings, or transcripts of our content
• Create derivative works based on our content
• Reverse engineer our methodologies or strategies
• Use our content for commercial purposes

9. Prohibited Uses and Activities

You agree not to engage in any of the following prohibited activities:

• Sharing your account credentials with others
• Allowing others to access your account
• Recording, screenshotting, or saving any content from our services
• Redistributing, reselling, or commercializing our content
• Using automated tools, bots, or scripts to access our services
• Attempting to hack, disrupt, or damage our systems
• Engaging in market manipulation based on our content
• Violating any applicable laws or regulations
• Impersonating DGT staff or other members
• Creating multiple accounts to circumvent restrictions

10. Account Termination and Suspension

We reserve the right to terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Disruptive behavior in our community
• Sharing or distributing our proprietary content
• Fraudulent or unauthorized use of our services
• Non-payment of subscription fees

Upon termination, your right to use our services will cease immediately. All provisions of these Terms that should survive termination shall survive, including intellectual property rights, warranty disclaimers, and limitations of liability.

You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellation will prevent future billing but will not result in refunds for current subscription periods.

11. Disclaimers and Risk Warnings

Our services are provided "as is" without any warranties of any kind. We make no representations about the accuracy, completeness, or timeliness of any content. Market conditions can change rapidly and unpredictably.

You acknowledge that any trading decisions you make are solely your responsibility and that you should conduct your own research and consult with qualified financial professionals before making any investment decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAILY GRIND TRADING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses or investment losses of any kind
• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or downtime
• Personal injury or emotional distress

Our total liability to you for all claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Daily Grind Trading LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your trading activities or investment decisions
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights

14. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms that is due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet outages, or technical failures of third-party services (including Discord, Stripe, or Whop).

15. Privacy Policy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our services. By using our services, you agree to the collection and use of information in accordance with our Privacy Policy.

16. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect via email or prominent notice on our website.

Your continued use of our services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using our services.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and Daily Grind Trading LLC regarding the use of our services and supersede all prior and contemporaneous written or oral agreements.
